Terms of Service

1. Agreement to Terms

By accessing or using the Novi P2P Trading Platform at novip2p.com ("Platform" or "Novi"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Platform.

These Terms constitute a legally binding agreement between you and Novi P2P. We reserve the right to update these Terms at any time. Continued use of the Platform after changes constitutes your acceptance.

2. Description of Service

Novi is a non-custodial, peer-to-peer cryptocurrency trading marketplace that connects buyers and sellers directly. We support trading of Bitcoin (BTC), Ethereum (ETH), Solana (SOL), Monero (XMR), Zcash (ZEC), and other supported digital assets, using over 350 payment methods worldwide. We provide:

• A marketplace for users to post and discover trade offers
• Escrow services to secure funds during active trades
• End-to-end encrypted chat between trading counterparties
• A dispute resolution mechanism for contested trades
• User reputation and verification systems
• Optional Premium membership with reduced fees and enhanced features

Important: Novi acts solely as a neutral facilitator. We are not a financial institution, broker-dealer, money transmitter, or investment adviser. Except during active escrow periods, we do not hold, custody, or control user funds.

3. Eligibility

You must be at least 18 years of age to use the Platform. By using Novi, you represent and warrant that:

• You are 18 years of age or older and have the legal capacity to enter into binding contracts
• Your use of the Platform does not violate any applicable local, national, or international law or regulation
• You are not a resident of, or located in, any jurisdiction subject to international sanctions or where cryptocurrency trading is prohibited
• You are not subject to any economic sanctions administered by the U.S. Office of Foreign Assets Control (OFAC) or equivalent authority
• You have not previously been suspended or removed from the Platform for violations of these Terms

4. Account Registration and Security

4.1 Accurate Information: You must provide truthful, accurate, and complete information when creating an account. You agree to keep your profile information current and updated.

4.2 Account Security: You are solely responsible for safeguarding your login credentials, wallet, and two-factor authentication codes. You agree to notify us immediately at support@novip2p.com if you suspect unauthorized access to your account.

4.3 One Account Per User: You may register only one account. Creating multiple accounts to circumvent restrictions, manipulate reputation, or abuse the referral system is prohibited.

4.4 Account Suspension: We reserve the right to suspend, restrict, or permanently terminate any account that violates these Terms, poses a security risk, or engages in activity we deem harmful to the Platform or its users.

5. Trading Rules and Conduct

5.1 User Responsibilities: When creating offers or initiating trades, you agree to:

• Provide accurate and complete trade terms, pricing, and payment instructions
• Respond promptly to messages and trade requests within reasonable timeframes
• Act in good faith and honor the terms of any trade you enter into
• Only release escrow after you have independently confirmed receipt of the agreed payment
• Upload genuine payment proofs when required by your counterparty

5.2 Prohibited Conduct: The following activities are strictly prohibited and may result in immediate account termination and reporting to relevant authorities:

• Fraud, deception, misrepresentation, or manipulation of any kind
• Creating fake accounts, impersonating other users, or identity fraud
• Artificial reputation manipulation, fake feedback, or wash trading
• Using the Platform to launder money, evade sanctions, or facilitate illegal activity
• Harassment, threats, hate speech, or abusive behavior toward other users
• Attempting to circumvent escrow, bypass security controls, or exploit Platform vulnerabilities
• Automated scraping, botting, or unauthorized access to the Platform's systems
• Posting offers or conducting trades involving stolen funds or fraudulent payment methods

6. Escrow and Fund Security

6.1 How Escrow Works: When a trade is initiated, the seller must fund the escrow with the agreed cryptocurrency amount before the buyer sends payment. Funds held in escrow are secured by Novi until the trade is completed or resolved.

6.2 Escrow Release: Sellers must only release escrow after independently verifying that the agreed payment has been received in full. Releasing escrow before confirming payment is done entirely at your own risk and cannot be reversed.

6.3 Chargeback Risk: Certain payment methods carry chargeback risk. Sellers are solely responsible for selecting payment methods they are comfortable with and understanding the associated risks.

6.4 Disputes: If a trade cannot be resolved between counterparties, either party may open a dispute. Our support team will review submitted evidence (chat logs, payment proofs, transaction records) and issue a final, binding decision.

7. Fees and Charges

Novi charges a platform fee on each successfully completed trade. Current fee structure:

• Standard Account: 1.0% platform fee per completed trade
• Premium Account: 0.5% platform fee per completed trade

Fees are automatically deducted from the escrow amount at the time of release. There are no fees for creating offers, initiating trades, or for trades that do not complete. Premium membership is available via subscription through Stripe and may be cancelled at any time. We reserve the right to modify our fee structure with at least 30 days' advance notice posted on the Platform.

8. Compliance and Legal Obligations

8.1 Your Compliance Responsibility: You are solely responsible for complying with all laws and regulations applicable to your use of the Platform in your jurisdiction, including:

• Tax reporting and payment obligations on cryptocurrency gains and trading activity
• Anti-money laundering (AML) and counter-terrorism financing (CTF) regulations
• Know Your Customer (KYC) obligations where required by your local law
• Securities, commodities, or financial services regulations applicable in your jurisdiction
• Consumer protection and data privacy laws

8.2 Sanctions Compliance: You may not use the Platform if you are located in, a citizen of, or trading on behalf of any person or entity in a jurisdiction subject to comprehensive international sanctions, including but not limited to Iran, North Korea, Cuba, Syria, or the Crimea region.

8.3 Our AML Obligations: Novi maintains an AML/KYC compliance program. We reserve the right to request identity verification, freeze accounts, or report suspicious activity to relevant authorities as required by law. See our AML/KYC Policy for details.

9. Disclaimers and Limitation of Liability

9.1 No Financial Advice: Nothing on the Platform constitutes financial, investment, legal, or tax advice. All trading decisions are your sole responsibility. Cryptocurrency markets are highly volatile — you may lose some or all of your funds.

9.2 Platform "As Is": The Platform is provided on an "as is" and "as available" basis without any warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

9.3 Limitation of Liability: To the maximum extent permitted by applicable law, Novi and its officers, employees, and affiliates shall not be liable for:

• Loss of funds due to user error, counterparty fraud, or cryptocurrency market volatility
• Service interruptions, downtime, technical failures, or data loss
• Unauthorized access to your account resulting from your failure to maintain credential security
• Any indirect, incidental, special, consequential, or punitive damages
• Actions or omissions of third-party payment providers or wallet services

Our total aggregate liability for any claim arising from your use of the Platform shall not exceed the total fees paid by you to Novi in the 12 months immediately preceding the event giving rise to the claim.

10. Intellectual Property

All content, design, code, trademarks, logos, and materials on the Platform are the intellectual property of Novi P2P or its licensors and are protected by applicable copyright, trademark, and other intellectual property laws. You may not copy, reproduce, modify, distribute, transmit, or create derivative works from any Platform content without our prior written consent. You retain ownership of content you submit, but grant Novi a non-exclusive, royalty-free license to use it for Platform operation purposes.

11. Indemnification

You agree to indemnify, defend, and hold harmless Novi P2P, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Platform, your violation of these Terms, your violation of any applicable law, or your infringement of any third-party rights.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 14 days' advance notice via email or a prominent notice on the Platform. The "Last updated" date at the top of this page indicates the most recent revision. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms.

13. Termination

You may close your account at any time by contacting support. You must complete or cancel all active trades before requesting account deletion. We reserve the right to immediately suspend or permanently terminate your access to the Platform for violations of these Terms, suspected fraudulent activity, legal or regulatory requirements, or at our sole discretion. Upon termination, your right to access the Platform ceases immediately, though data retention obligations continue to apply.

14. Dispute Resolution

Any disputes arising from or relating to these Terms or your use of the Platform shall first be attempted to be resolved informally by contacting us at legal@novip2p.com. If informal resolution fails, disputes shall be submitted to binding arbitration in accordance with the rules of a recognized arbitration body. You waive any right to participate in class action lawsuits or class-wide arbitration. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction.

15. Governing Law

These Terms are governed by and construed in accordance with applicable laws, without regard to conflict of law provisions. Nothing in these Terms limits any rights you may have under the mandatory consumer protection laws of your country of residence.
