1. Agreement to Terms

By accessing or using Novi P2P Trading Platform ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Platform.

2. Description of Service

Novi is a peer-to-peer cryptocurrency trading platform that facilitates direct trades between users. We provide:

• Escrow services for secure trade execution
• Communication channels between trading parties
• Dispute resolution mechanisms
• User reputation and verification systems

Important: Novi acts solely as a facilitator. We do not take custody of your funds except during active escrow periods. We are not a financial institution, broker, or money services business.

3. User Eligibility

You must be at least 18 years old to use this Platform. By using Novi, you represent and warrant that:

• You are of legal age in your jurisdiction
• You have the legal capacity to enter into binding contracts
• Your use of the Platform does not violate any applicable laws
• You are not located in a prohibited jurisdiction

4. Account Registration and Security

4.1 Account Creation: You must provide accurate and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials.

4.2 Security: Enable two-factor authentication (2FA) for enhanced security. You are solely responsible for all activities under your account.

4.3 Account Suspension: We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

5. Trading Rules and Conduct

5.1 User Responsibilities: When creating offers or accepting trades, you agree to:

• Provide accurate trade terms and payment details
• Respond promptly to trade requests and messages
• Complete trades in good faith and according to stated terms
• Release escrow only after confirming payment receipt

5.2 Prohibited Activities: You may not:

• Engage in fraudulent, deceptive, or manipulative practices
• Create fake accounts or impersonate others
• Manipulate reputation scores or engage in wash trading
• Use the Platform for money laundering or illicit activities
• Harass, threaten, or abuse other users
• Attempt to circumvent security measures or access controls

6. Escrow and Fund Security

6.1 Escrow Process: Sellers must fund escrow before buyers send payment. Funds are held securely until both parties confirm transaction completion or a dispute is resolved.

6.2 Escrow Release: Escrow is released to the buyer only after the seller confirms payment receipt. Premature release of escrow is done at your own risk.

6.3 Disputes: In case of disputes, our support team will mediate based on provided evidence. Our decision is final and binding.

7. Fees and Charges

Novi charges a platform fee on completed trades. Current fee structure:

• Standard users: 1.0% per trade
• Premium users: 0.5% per trade

Fees are automatically deducted from the escrow amount before release. We reserve the right to modify fees with 30 days notice.

8. Compliance and Legal Obligations

8.1 Regulatory Compliance: Users are responsible for complying with all applicable laws in their jurisdiction, including but not limited to:

• Tax obligations and reporting requirements
• Anti-money laundering (AML) regulations
• Know Your Customer (KYC) requirements
• Securities and commodity trading laws

8.2 Sanctions: You may not use the Platform if you are located in, or a citizen of, any jurisdiction subject to international sanctions.

9. Disclaimers and Limitation of Liability

9.1 No Financial Advice: Novi does not provide financial, investment, or legal advice. All trading decisions are your sole responsibility.

9.2 Platform "AS IS": The Platform is provided "as is" without warranties of any kind, express or implied.

9.3 Limitation of Liability: To the maximum extent permitted by law, Novi shall not be liable for:

• Loss of funds due to user error, fraud by counterparties, or market volatility
• Service interruptions, technical failures, or security breaches
• Indirect, incidental, or consequential damages

Our total liability for any claim shall not exceed the fees paid by you in the 12 months preceding the claim.

10. Intellectual Property

All Platform content, including logos, designs, text, graphics, and software, is the property of Novi or its licensors and protected by intellectual property laws. You may not copy, modify, or distribute any Platform content without written permission.

11. Indemnification

You agree to indemnify and hold harmless Novi, its affiliates, officers, and employees from any claims, damages, or expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or Platform notification. Continued use after changes constitutes acceptance of the modified Terms.

13. Termination

You may terminate your account at any time. We reserve the right to suspend or terminate accounts for violations of these Terms, suspicious activity, or at our discretion. Upon termination, you must complete all active trades and withdraw your funds.

14. Dispute Resolution

Any disputes arising from these Terms or use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to participate in class action lawsuits.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
